- GOAL
Goal of putting IC Yatırım Holding A.Ş. Code of Conduct in writing is to enhance the ethical culture of the Holding, to help these rules to be adopted and implemented, to guide employees towards ethical conduct and set a behavior standard expected of all employees.
“IC Yatırım Holding A.Ş Code of Conduct”; are the standards that define what is wrong or right or what is acceptable or unacceptable.
IC Yatırım Holding A.Ş Code of Conduct; approved by the Executive Board of IC Yatırım Holding A.Ş., define the fundamental administrative principles regulating the relations between the Holding management, employees and third parties (customers, suppliers and all individuals and corporations that are associated with the Holding.
- SCOPE
These codes are applicable to all employees and departments of subsidiaries of IC Yatırım Holding A.Ş.
- MANAGEMENT RESPONSIBILITY
Within the framework of IC Yatırım Holding A.Ş Code of Conduct, managers are responsible for disseminating these rules throughout the organization and ensuring that operations are carried out in accordance with these rules.
The most important asset and priority of IC Yatırım Holding is its human resource. Holding and company management and executives have ethical obligations towards the employees.
- Adopt as a principle to protect all rights of employees under the applicable laws and their personality honor,
- Create a high-quality, safe, and healthy working environment for employees that enable them to work in a contended and productive manner,
- Shape their behaviors towards employees in the frame of respect and give importance to confidentiality of private life,
- Never harass employees psychologically,
- Never discriminate between employees and stick to fairness and equitable principles in every aspect,
- Allow their employees to participate in decision-making processes and create an environment to express their ideas and opinions freely.
- RESPONSIBILITIES OF OUR EMPLOYEES
All employees working in IC Yatırım Holding A.Ş.;
- Comply with all applicable holding and company policies, and work to achieve the determined targets and objectives,
- Protect the name and prestige of their organization in all cases,
- Never conduct an illegal behavior or attitude and inform holding/company management about all offers providing a personal benefit or of any issue that they feel suspicious about not being proper/legal or of any situation like having relatives that may try to take advantage of their positions, never accept any gift and/or hospitality,
- Do not exhibit any behavior or attitude (aggressive behaviors, threatening conversations, disturbing, harassment, propaganda, or promotion of political and/or religious views, etc.) that may impair the peace, safety, and productivity of the working environment.
4.1. Protection of the Reputation of IC Yatırım Holding
All employees of IC Ibrahim Çeçen Yatırım Holding and its subsidiary companies and affiliates should avoid all acts and behaviors that may damage the reputation of the organization.
4.2. Protection of the Company’s Assets
All employees working under the umbrella of IC Yatırım Holding A.Ş. should protect the company’s assets and should use not use them for any purpose other than the fulfillment of their obligations arising from their duties and as well as should use them in an efficient manner.
4.3. Corporate Secrets / Confidentiality
One of the most important elements of our corporate assts is the accumulation of knowledge that we have. We show ultimate attention to all operations carried out within the organization (projects, filing – archiving, e-mail traffic, meeting talks and minutes, papers on the desk, etc.) in line with the information protection principle.
All employees working at IC Yatırım Holding A.Ş. and having information about (projects, undisclosed bids, business research, new product plans, strategic goals, unpublished financial information or customer and supplier lists, customer requests and demands, customers’ preferences, any information, correspondence, document, etc., about regulations, procedures, processes, work habits, methods, and plans):
- may not disclose such information without any legal or professional obligation or unless they are authorized to do so,
- may not use such information for their personal interests or for the benefit of any third party outside the company,
- At the holding and affiliated companies, they may provide such information to employees only on a need-to-know basis and by clearly indicating that such information is a company secret and should not be shared with another person
Our employees’ obligation to keep confidential and protect such information shall survive even if their employment with IC Yatırım Holding A.Ş. is terminated for any reason, unless and until such information has become public or no longer qualifies as a trade secret.
4.4.Relationship with coworkers/colleagues
All employees working at IC Yatırım Holding A.Ş. and affiliated companies should communicate and cooperate with each other within the frame of mutual trust and respect. The relationship between coworkers, whether between you and an employee reporting to you or between you and your manager or between peers, is the professional interactions and connections where each individual needs to stick to mutual goals among equals.
4.5.Relationship with suppliers
We aim to establish long-term relationships based on trust with our suppliers that provide products, projects, and services to IC Yatırım Holding A.Ş. and its subsidiary companies, and affiliates. Supplier relationships rest upon a foundation of equality and honesty. We never make any racial, religious or language discrimination in supplier selection and in dealings with suppliers and do not take into consideration our personal relationships. We attach particular importance to holding’s / company’s interests. We do not accept any payment like commission, gift, etc. from our suppliers.
We comply with the meeting requests of our customers – Suppliers within the shortest time possible as long as business and time allows. We pay strict attention to this issue.
We always answer calls from our customers – Suppliers; listen to them and assess the case and forward the case to the relevant person/department if it is necessary and follow-up the case.
We pay great attention not to let our visitors wait for a long time, and welcome and farewell them in accordance with IC hospitality and culture, as from the very first moment.
All behaviors mentioned above form an integral part of our corporate culture.
4.6. Our Relationships with Customers
To provide our customers with products/services at the standards and conditions in line with our commitment in this regard and on a proper and timely basis is one of our most fundamental principles. As IC Yatırım Holding A.Ş. and its subsidiary companies and affiliates, we always give accurate, clear, and complete information. We always comply with and adhere to the contracts and fulfill our obligations and commitments and strive hard to ensure our customers’ satisfaction.

CORPORATE TRADITION
The policies regarding the sustainability of the corporate identity and traditions of IC Yatırım Holding A.Ş. are determined by the Board of Directors of IC Yatırım Holding A.Ş. and all applications carried out, implemented and/or performed are controlled and supervised. Each employee working in IC Yatırım Holding A.Ş. or its subsidiary companies or affiliates has a moral responsibility for learning, adopting these traditions, and fulfilling their requirements and communicating these traditions to new recruits who newly joined and began to work in the company.

As IC İbrahim Çeçen Yatırım Holding A.Ş. our fundamental principle is to comply with and adhere to all laws, regulations and legal restrictions related to our activities. To cooperate with the relevant governmental authorities and public authorities in our domestic and international activities and to comply with all relevant laws and regulations is our motto.
It is a common practice for our company to obtain the opinion of the Legal Consultancy Department of the Holding for topics and issues that are considered to have a legal dimension.

IMPLEMENTATION AND RESPONSIBILITY FOR COMPLIANCE
Each person who accepts to work under the umbrella of IC Yatırım Holding assumes the responsibility to comply with and adhere to these working principles. Department managers are required to communicate these principles to employees and to answer their questions, if any, and to create a working environment enabling employees to freely talk and discuss these matters.
Any problem that may arise out or in connection with the interpretation and implementation of these principles and rules may be solved by getting into contact with the Legal Consultancy Department and/or Coordination Office of Human Resources of the Holding.
The Code of Conduct of IC Yatırım Holding A.Ş. is communicated to each recruit who started to work under the umbrella of IC Yatırım Holding through the Orientation Program and have each new recruit to sign a letter of undertaking confirming that he/she has understood that this code of conduct shall be deemed to form an integral part of his/her contract of employment. The Code of Conduct of C Yatırım Holding A.Ş. shall be posted on the webpage of the holding and on the webpages of its subsidiary companies and affiliates.
